Terms of Sale

1. Scope
These Terms of Sale govern the sale of subscriptions to the DevPrism platform, published by DevPrism SAS (registered with the Paris Trade & Companies Register under No. 107 187 734 — full details in the Legal Notice). They apply to any professional Client subscribing to a paid plan. The Service is intended exclusively for professional (B2B) customers; accordingly, the consumer right of withdrawal does not apply.
2. Prices
Subscription prices are stated in euros, excluding tax (VAT), on the Pricing page. Applicable VAT is added at the prevailing rate depending on the Client's country. DevPrism reserves the right to change its prices; any price change is notified at least 30 days in advance and applies at the next renewal.
3. Payment Terms
Payment is made by bank card via our payment provider Stripe. The subscription is billed in advance, monthly or annually depending on the chosen plan. The Client warrants that it holds the necessary authorizations to use the payment method provided.
4. Invoicing and VAT
An electronic invoice is issued at each billing date and made available in the customer area. For Clients established in the EU outside France holding a valid intra-community VAT number, the reverse-charge mechanism applies. The Client is responsible for the accuracy of its billing information.
5. Term and Renewal
The subscription is entered into for the chosen period (monthly or annual) and automatically renews for periods of the same duration unless cancelled. The Client may disable automatic renewal at any time from account settings.
6. No Right of Withdrawal
As the Service is provided to professionals acting within their business activity, the consumer-law provisions on the right of withdrawal do not apply. No refund is due for periods already started; termination takes effect at the end of the current billing period.
7. Late Payment
In the event of non-payment when due, and in accordance with Article L441-10 of the French Commercial Code, late-payment penalties are payable at three times the legal interest rate, together with a fixed recovery indemnity of €40, without prejudice to any further compensation. DevPrism may suspend access to the Service after a formal notice left without effect for 7 days.
8. Termination
The Client may terminate its subscription at any time from its account; termination takes effect at the end of the current period. DevPrism may terminate or suspend the subscription in the event of a serious breach by the Client of the Terms or Terms of Sale, after 7 days' prior notice except in emergencies or where legally required.
9. Warranties and Liability
The Service is provided in accordance with the Terms of Service. DevPrism does not guarantee uninterrupted availability. DevPrism's liability hereunder is limited to the amounts paid by the Client during the preceding 12 months, to the extent permitted by law.
10. Governing Law and Disputes
These Terms of Sale are governed by French law. The parties will seek an amicable resolution before any litigation; failing this, the courts of Paris shall have jurisdiction. As the Service targets a professional clientele, the consumer mediation scheme does not apply. These Terms of Sale are available in several languages; in case of discrepancy, the English version prevails, except for clients established in France, for whom the French version prevails.
